The incorporator who signed the original Articles of Incorporation is no longer with the corporation. Do we need to file a new Articles of Incorporation to have it signed by the current President? The Certificate of Amendment probably won't work because it prohibits any amendment of the name and address of first directors and initial agent. We do have an exchange of shares between shareholders. But the original Articles of Incorporation didn't not mention the names of the shareholders. In this case, how can a certificate of Amendment reflect the changes of shareholders? Thanks!
