I work for a brokerage firm that has not yet filed articles of incorporation nor did the company file a DBA. We picked a name and used it in a Non-Circumvetion Non-Disclosure Agreement with a supplier regarding our buyer. In turned out that the supplier went around us and did business directly with our buyer. We expected to incorporate right after our first business transaction. Is the agreement still valid since my business partners name was also included and he signed it? The supplier also signed the agreement.

I spoke with a lawyer after asking this question. He told me that it was perfectly fine. All I had to do was incorporate as soon as possible then attribute all prior business activities to the new company.
